Certiva Consultancy UK is a trading name of Palittadnb Ltd · Registered in England and Wales, company no. 15626113
Version 1.0 · October 2026 · certivauk.co.uk
1.1 These terms apply to all consultancy services provided by Palittadnb Ltd trading as Certiva Consultancy UK ("Certiva", "we", "us") to the client named in our quotation ("you").
1.2 Our quotation and these terms together form the agreement between us. The agreement starts when you accept the quotation in writing (including by email or online acceptance).
1.3 Quotations are valid for 30 days from the date of issue. If anything in the quotation conflicts with these terms, the quotation takes priority.
1.4 These terms apply to clients in the United Kingdom. Clients in Italy are covered by separate terms.
2.1 We will provide the services described in the quotation – for example gap analysis, management system development, training, internal audit, management review support, certification audit support and ongoing support – with reasonable skill and care.
2.2 Day estimates are based on the information you gave us at the scoping stage. If the scope changes, or the gap analysis shows materially more or less work is needed, we will agree any change with you in writing before carrying it out. Additional days are charged at our day rate in force when the work is carried out. Our rates are reviewed each April (see 5.4).
2.3 Services may be delivered on site or remotely (video call, screen sharing and shared documents), as agreed with you.
2.4 We may use suitably qualified associate consultants to deliver part of the services. We remain responsible for their work.
3.1 You will name a person with the authority and time to work with us, give us timely access to people, premises, information and records, and make decisions promptly.
3.2 You are responsible for the accuracy of the information you give us, for implementing and maintaining your management system, and for meeting the legal and regulatory requirements that apply to your organisation.
3.3 If delays on your side extend the project or mean days are wasted, we may revise the timeline and charge for any additional time.
4.1 We are a consultancy, not a certification body. The decision to grant, maintain or withdraw certification rests solely with your chosen certification body, so we cannot guarantee certification or the outcome of any audit.
4.2 Certification body fees are not included in our fees and are payable by you directly to the certification body.
4.3 To protect the impartiality of your certification, no one who provides consultancy to you under this agreement will take part in a certification body's audit of your management system, in line with ISO/IEC 17021-1. We will tell you about any potential conflict of interest as soon as we become aware of it.
5.1 Fees are based on the days and day rates set out in the quotation, plus travel and expenses where shown. All fees are exclusive of VAT, which will be added if applicable.
5.2 We invoice on completion of the work, or of each stage of the work where the quotation sets out stages (for example implementation and initial certification, surveillance audits and recertification). We do not ask for payment in advance.
5.3 Invoices are payable within 14 days of the invoice date. We may charge interest and compensation on late payments under the Late Payment of Commercial Debts (Interest) Act 1998, and may pause further work while an invoice is overdue.
5.4 Where the quotation covers more than one stage, our day rates are reviewed once a year, in April. Rates will increase by at least 3% plus the annual rate of the Retail Prices Index (RPI) for April. We will give you at least 30 days' written notice of any change, and you may choose not to continue with later stages if you do not accept it.
6.1 Travel and expenses are charged as set out in the quotation. Additional visits you request are charged at the same rate. Travel outside the UK is charged at cost unless agreed otherwise.
7.1 We do not charge for postponing a scheduled day. However, where accommodation has already been booked and a visit is postponed, the accommodation cost and any mileage incurred will be charged. Should the postponement be for reasons out of your control, the accommodation cost and mileage will not be charged. We will always let you know when accommodation has been booked for a visit.
7.2 If a certification body moves an audit date, we will do our best to attend the new date. If we cannot, we will agree an alternative with you, such as remote support or preparation in advance.
8.1 The agreement runs for the stages set out in the quotation. Where it covers a full certification cycle, this includes the initial certification (or recertification), the surveillance audits and the next recertification.
8.2 Either of us may end the agreement by giving 30 days' written notice. You will pay for work carried out, and for expenses incurred, up to the end date.
8.3 Either of us may end the agreement immediately by written notice if the other seriously breaches it and does not put the breach right within 14 days of being asked to, or becomes insolvent.
9.1 Once our invoices are paid in full, you own the documents we produce specifically for your management system and may use and change them as you wish.
9.2 We keep ownership of our own templates, tools, training materials and methods. We give you a non-exclusive licence to use any of these that form part of your management system for your own internal business purposes.
10.1 Each of us will keep the other's confidential information confidential and use it only for the purposes of this agreement, except where disclosure is required by law or by your certification body.
10.2 Each of us will comply with the UK GDPR and the Data Protection Act 2018. We will process personal data you share with us only to provide the services and will keep it secure.
11.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
11.2 Otherwise, our total liability to you under or in connection with this agreement is limited to the fees you have paid us in the 12 months before the event giving rise to the claim. We are not liable for any loss of profit, revenue, business or contracts, or for any indirect or consequential loss.
11.3 We are not responsible for the outcome of any certification audit, or for any loss caused by information you provide being inaccurate or incomplete.
12.1 During the agreement and for 12 months after it ends, you will not directly engage any associate consultant introduced to you by us to provide similar services, without our written agreement.
13.1 Neither of us is liable for delays caused by events beyond our reasonable control.
13.2 We may update these terms from time to time; the version in force when you accept a quotation applies to that quotation.
13.3 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
